Affiliate Terms & Conditions
This Affiliate Terms & Conditions Agreement ("Agreement") is entered into between Zipchat Inc, a Delaware Incorporated company located at 407 East Ayre Street, Wilmington, DE 19804 ("Company," "we," "us," or "our") and you ("Affiliate," "you," or "your"). This Agreement contains the complete terms and conditions that apply to your participation in the Zipchat Inc Affiliate Program ("Program").
1. Enrollment in the Program
To begin the enrollment process, you must complete and submit the online application via the Program's registration page. We will evaluate your application and notify you of your acceptance or rejection.
2. Affiliation Responsibilities
Affiliates are responsible for promoting Zipchat Inc's products and services. You may use promotional materials provided by us, but we are not responsible for the nature of your promotion.
3. Commissions
3.1 Commission Rate
Affiliates are entitled to a 30% commission on the total sale amount for Monthly Plans of Zipchat Inc's products or services.
3.2 Recurring Commission
The commission will be a recurring type, meaning you will continue to earn a 30% commission for every subsequent monthly payment made by a referred customer for up to 12 months from the date of the initial sale.
3.3 Exceptions
Commission rates may be adjusted or exceptions may be made at the sole discretion of Zipchat Inc and will be explicitly stated if applicable.
3.4 Self-Purchases and Fraudulent Activity
Commissions on self-purchases are not valid. Zipchat Inc reserves the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.
4. Payment
4.1 Payment Schedule
Commissions earned will be paid on a monthly basis.
4.2 Net-30 Payments
All commissions are paid Net-30, meaning the commission will be paid within 30 days after the end of the commissionable month in which the qualified purchase was made.
4.3 Payment Methods
Payments will be made via the payment method specified in your Affiliate account, which could include but are not limited to PayPal, wire transfer, or check depending of where you are based.
4.4 Payment Threshold
A minimum payment threshold may be set at Zipchat Inc's discretion. Affiliates must reach this threshold in earned commissions before a payout is processed.
4.5 Right to Cancel or Adjust Payment
Zipchat Inc retains the right to cancel or adjust any commissions that have been generated under circumstances we consider to be fraudulent or in violation of our Program's terms and conditions.
5. Termination
Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.
6. Modification
We may modify this Agreement at any time. Modifications may affect existing referral commissions. Continued participation in the Program constitutes acceptance of any modifications.
7. Limitation of Liability
Zipchat Inc will not be liable for any losses relating to your participation in the Program; including economic loss, data loss, or loss of profits. You understand that you are participating in this Program at your own risk.
8. Disclaimers
Zipchat Inc makes no express or implied warranties or representations with respect to the Program or any products or services sold through the Program.
9. Relationship of Parties
You are an independent contractor, and nothing in this Agreement creates any partnership, joint venture, agency, franchise, or employment relationship.
10. Indemnification
You hereby agree to indemnify and hold harmless Zipchat Inc against any and all claims, actions, demands, liabilities, losses, damages, or expenses arising out of or relating to your violation of this Agreement.
11. Governing Law
This Agreement will be governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
12. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior and contemporaneous agreements, whether written or oral, between the parties relating to the Program.
By enrolling in the Zipchat Inc Affiliate Program, you acknowledge that you have read, understood, and agreed to these Affiliate Terms & Conditions.
